A broad, high-exposure company secretarial role with a leading international group.
I'm working with a well-established, international business group that serves a large customer base across multiple markets and brings together a number of businesses under one group, some of them FCA-regulated. My client is now looking for an Assistant Company Secretary to join its established legal team.
If you're an assistant company secretary who wants more variety, more ownership and a clearer route to progression, this one is worth a conversation.
Please note: this is an office-based role in Cheshire. There is no remote or hybrid working but the position can be offered on a part-time basis.
The role:
Reporting into the Group Company Secretary, you'll take day-to-day responsibility for a broad and genuinely varied portfolio:
- Governance and statutory compliance: Run company secretarial activity for UK and international group entities, including statutory records, Companies House filings and liaison with overseas providers. You'll also support subsidiary board meetings and minutes, KYC/AML/UBO requests, statutory registers, director training and inductions, and the annual subsidiary accounts process.
- Regulated entities:Support on board governance across the group, including its FCA-regulated businesses.
- Transactions and projects:Provide company secretarial support on UK and international corporate transactions, intra-group restructurings, inter-company dividends and corporate simplification, including dissolving dormant entities.
- Group insurance:Coordinate the annual group insurance renewal and act as the first point of contact for insurance matters, working with brokers, solicitors and loss adjusters.
- Shareholder matters:Maintain the parent company register and support on EBT and LTIP awards and shareholder queries.
- Intellectual property:Support the Legal Director on the annual review and renewal of the group's trade mark portfolio, working with external trade mark lawyers.
About you:
- ICSA qualified, or close to completing your qualification.
- A good working knowledge of company law and governance, ideally gained in a similar group environment.
- Experience with FCA-regulated businesses is desirable but not essential.
- Strong attention to detail, sound judgement and good technical and analytical skills.
- A confident communicator who builds good relationships with stakeholders across the business.
- Able to manage your own workload and deadlines, and to adapt quickly in a fast-changing environment.
- A proactive team player who brings ideas and solutions.
What's on offer:
- A role with real breadth, covering governance, transactions, insurance, shareholder matters and IP.
- Genuine scope to develop your career in a number of directions within a growing group.
- A competitive package, including a performance-related bonus, pension, life assurance, employee wellbeing and healthcare support, cycle to work and electric vehicle schemes, and free breakfast daily.
- A modern, purpose-built office in Cheshire with excellent on-site facilities, including a café, gym and social spaces.
